The reforms are widely regarded as the most significant changes to the UK listing regime in 40 years and are part of the FCA's broader strategy to revitalize the UK capital markets.

Reform Background: Enhancing UK Market Competitiveness

The new rules were introduced against a backdrop of long-term competitiveness challenges facing the UK listing market. Data show that since 2008, the number of listed companies in the UK has fallen by approximately 40%. In addition, the new rules create several other new categories, including:

  • Transition category: Applicable to issuers of shares previously in the standard listing segment or companies "in transit" following implementation of the new rules.
  • Shell company category: Including special purpose acquisition companies (SPACs).
  • Secondary listing category: Applicable to companies with a secondary listing in an overseas market.
  • Non-equity share category: Such as preference shares and deferred shares, as well as non-voting equity securities.

At the same time, existing categories for closed-ended investment funds, open-ended investment funds, depositary receipts, warrants, options and other miscellaneous securities have been retained, with the relevant rules largely unchanged.

Mapping and Transition of Existing Companies

The FCA has previously notified all commercial companies with premium and standard listings how to map their existing listings to the new categories. In general, all premium-listed commercial companies have been automatically mapped to ESCC. Companies with standard listings have been mapped to a new transitional category, which is based on the original standard listing rules, and can apply to move to ESCC where applicable.
